About the Opportunity

We are looking for a Legal Counsel Corporate & Regulatory to strengthen our expertise in corporate law and banking regulation.

Together with your team, you will advise internal stakeholders on a broad range of legal matters across Corporate Law, Corporate Governance, M&A, Corporate Financing and, prospectively, Capital Markets Law. Another key element of your role will be advising on banking regulatory matters.

Working closely with your team, our management and our General Counsel, you will develop pragmatic solutions across a broad range of topics. You will also work closely with external counsel and independently coordinate their work.

Your Responsibilities

• You will join the Corporate / Regulatory Team within our Legal Department and have the exciting opportunity to further develop our Corporate Law function in a fast-growing company operating in a highly regulated environment.
• Your work will focus on Corporate Governance (in particular, supporting the General Meeting, Supervisory Board and Management Board), Corporate Financing and M&A. You will work closely with the Head of Corporate Law and various stakeholders across the N26 Group.
• You will identify and assess legal and business risks, develop strategies to address them and provide pragmatic and creative support in their implementation.
• You will work closely and cross-functionally with Finance, the Executive Office and the Banking Team on matters relating to the areas of law outlined above. This will also include advising on employee participation programs.
• You will independently support complex national and international transactions as well as our planned IPO.
• In everything you do, you will ensure that applicable regulatory requirements are appropriately considered.

Background

What you should bring:

• You have completed both German state law examinations (Staatsexamen) with above-average results.
• You have at least two years of professional experience in Corporate Law, particularly German stock corporation law (Aktienrecht), gained at a renowned law firm and/or an international company, ideally in the financial sector.
• You have gained initial experience in banking regulatory law or are motivated to develop expertise in this area.

Wir sind auf der Suche nach einem Legal Counsel Corporate & Regulatory, um unsere Expertise im Gesellschafts- und Bankaufsichtsrecht auszubauen. Zusammen mit Deinem Team berätst Du interne Stakeholder zu einer Vielzahl rechtlicher Fragestellungen in den Bereichen Gesellschaftsrecht, Corporate Governance, M&A, Corporate Financing und (perspektivisch) Kapitalmarktrecht. Ein weiterer wesentlicher Baustein Deiner Tätigkeit ist die bankaufsichtsrechtliche Beratung. Gemeinsam mit deinem Team und in enger Abstimmung mit unserem Management und unserer General Counsel entwickelst Du pragmatische Lösungen in einem breiten Themenspektrum. Bei all dem arbeitest Du eng mit externen Beratern zusammen und koordinierst diese selbständig.

Deine Aufgaben:

• Du wirst Teil des Corporate / Regulatory Teams in unserer Rechtsabteilung und hast die spannende Möglichkeit, in einem stark wachsenden Unternehmen und einem hoch regulierten Umfeld den Bereich Gesellschaftsrecht auszubauen.
• Im Mittelpunkt deiner Tätigkeit stehen die Themenkreise Corporate Governance (insbesondere die Gremienarbeit mit Hauptversammlung, Aufsichtsrat und Vorstand),  Unternehmensfinanzierung und M&A. Diese Aufgabenstellungen löst Du in enger Zusammenarbeit mit dem Head of Corporate Law und verschiedenen Stakeholdern der N26 Gruppe.
• Du erkennst und bewertest rechtliche und unternehmerische Risiken, erstellst Lösungsstrategien und stehst bei deren Umsetzung kreativ zur Seite.
• Du arbeitest eng und interdisziplinär mit Finance, dem Executive Office und dem Banking Team bei Fragestellungen aus den oben genannten Rechtsgebieten zusammen. Dies umfasst auch die Beratung zu Mitarbeiterbeteiligungsprogrammen.
• Du unterstützt selbständig bei komplexen nationalen und internationalen Transaktionen, sowie unserem geplanten Börsengang.
• Bei allen Abläufen hast Du stets die aufsichtsrechtlichen Anforderungen fest im Blick.

Was Du mitbringen solltest:

Hintergrund: 

• Du hast das erste und zweite juristische Staatsexamen mit überdurchschnittlichen Ergebnissen abgeschlossen.
• Du konntest bereits mindestens 2 Jahre Berufserfahrung im Gesellschaftsrecht - insbesondere im Aktienrecht - in einer renommierten Kanzlei oder/und in einem internationalen Unternehmen (gerne im Finanzsektor) sammeln. 
• Du hast erste Kenntnisse im Bankaufsichtsrecht erworben bzw. bist offen, dir diese Materie engagiert zu erschließen.

Fähigkeiten: 

• Du hast ein großes Interesse an technischen und betriebswirtschaftlichen Zusammenhängen sowie digitalen Geschäftsmodellen.
• Du arbeitest eigenständig und hoch strukturiert, triffst Entscheidungen und bist bereit, diese auch intern und extern zu vertreten.
• Du bist bereit, dir pragmatisch auch neue Themen und Rechtsgebiete zu erschließen und dynamische regulatorische Entwicklungen eng zu begleiten.
